ABOUT WEAL28H

WEAL28H is a private fund and strategic institutional advisory firm focused on digital assets, fintech, blockchain, AI, regulated capital markets, and early-stage startups. The firm is led by Jenny Q. Ta, a former market maker and the founder and former CEO of two registered broker-dealer and investment banking firms with Nasdaq market-making operations.

WEAL28H helps clients pressure-test valuation, market structure, capital strategy, deal architecture, tokenization, digital-asset infrastructure, and transaction readiness before capital or reputation is put at risk. That work runs the full capital lifecycle, from early-stage founders preparing a first compliant raise to institutions weighing a multi-billion-dollar transaction.

We work with investment banks, broker-dealers, banks, asset managers, RIAs, institutional allocators, family offices, founders, regulated stablecoin issuers, crypto exchanges, custodians, tokenization platforms, compliance-native infrastructure firms, and the law firms that advise them.

Our work sits where capital, regulation, technology, and market structure collide, and it is built around a single question: what does a price, a structure, or a transaction require the market to believe?

LED BY JENNY Q. TA

Jenny Q. Ta is the Founding GP and Chief Strategist of WEAL28H. She is a former market maker and the founder and former CEO of two registered broker-dealer and investment banking firms. Her work spans capital strategy, valuation, market structure, deal architecture, regulated capital markets, digital assets, fintech, blockchain, AI, and early-stage company strategy.

Jenny has operated inside the machinery that prices, distributes, structures, and sells securities. That experience, not opinion alone, is the advantage behind WEAL28H’s work. The questions we run publicly are the same ones we run privately with clients: what does the market have to believe for this price to make sense, who benefits from the structure, where does retail or institutional capital sit in the stack, and what changes after lockups, options, borrow, index inclusion, regulatory action, liquidity shifts, or new supply.

WHAT WE DO

WEAL28H supports clients across six core advisory lanes.

Valuation and Market-Structure Analysis. We analyze public and private valuations, IPOs, pre-IPO rounds, secondary liquidity, reverse DCF models, market-implied expectations, lockup dynamics, dilution, index eligibility, trading structure, and the difference between narrative demand and durable valuation support.

Capital Strategy and Transaction Readiness. We advise operators, funds, and institutional clients on capital structure, fundraising readiness, transaction sequencing, strategic positioning, deal architecture, and the risks that arise before capital enters, exits, or changes size.

M&A and Deal-Structure Review. We review strategic transactions, merger logic, exchange ratios, valuation bridges, fairness concerns, governance conflicts, control structures, and shareholder incentives, including the ways a transaction can shift value among founders, insiders, institutions, and public investors.

Digital Assets, Tokenization, and Regulated Market Infrastructure. We advise on digital asset market structure, tokenization architecture, stablecoin positioning, custody and counterparty diligence, compliance-readiness mapping, institutional digital-asset workflows, and the regulatory perimeter forming around blockchain-based financial infrastructure.

Institutional Positioning and Strategic Research. We prepare institutional-grade research, market-structure memos, strategic assessment reports, diligence frameworks, and executive-level analysis, including AI infrastructure and AI-related capital-markets strategy, for firms that need more than surface-level commentary.

Capital Formation and Founder Readiness. We advise early-stage and growth-stage companies on capital structure, governance, entity and cap-table strategy, and readiness for Reg CF, private offerings, and public-market pathways, including analysis of structures such as reverse mergers and SPACs. Where regulated work is required, we coordinate with SEC-registered funding portals, broker-dealers, and independent legal counsel; we do not act as a broker-dealer, funding portal, or investment adviser.

WHO WE WORK WITH

WEAL28H works with investment banks, broker-dealers, banks, asset managers, RIAs, institutional allocators, family offices, founders and operators, early-stage and growth-stage companies, regulated stablecoin issuers, crypto exchanges, custodians, tokenization platforms, compliance-native infrastructure firms, strategic investors and transaction teams, and law firms seeking subject-matter analysis.

The institutions that retain us do so because they need the market structure, regulatory architecture, operational stack, technical workflow, valuation framework, and strategic positioning mapped honestly.

WORKING ALONGSIDE COUNSEL AND LICENSED PROFESSIONALS

WEAL28H is not a law firm and does not provide legal advice. Where legal counsel is required, we work alongside qualified law firms in the relevant jurisdictions. We are also retained directly by law firms that need subject-matter analysis on digital asset regulation, market structure, tokenization architecture, blockchain infrastructure, technical workflows, and compliance-readiness analysis. Our work for law firms may include subject-matter memoranda, technical assessment memoranda, regulatory strategy support, market-structure analysis, institutional reports, and technical input for client matters. Legal conclusions remain the responsibility of qualified counsel.

Where legal, regulatory, licensing, custody, execution, AML/KYC, sanctions, tax, audit, broker-dealer, or investment-advisory matters arise, we work alongside properly licensed third parties.

THE WEAL28H LENS

WEAL28H’s analysis is direction-neutral. Our views reflect our independent read of valuation, market structure, governance, and strategic incentives. They are not a recommendation to buy or sell any security, and they do not change based on whether a client is buying, selling, holding, waiting, raising, allocating, or preparing for a transaction.

We map the structure. We test the assumptions. We identify the risks. We explain what the price requires the market to believe. Our work is designed to pressure-test a decision before it is acted on, not to justify one after it has already been made.

WHAT WEAL28H IS NOT

WEAL28H does not act as a broker-dealer, exchange, trading venue, funding portal, investment adviser, custodian, OTC desk, law firm, CPA firm, or tax adviser. WEAL28H does not hold or custody client assets, route orders, execute trades, negotiate trade price, take possession of or transmit fiat or digital assets, or provide legal, tax, accounting, brokerage, custody, or investment-advisory services.

WEAL28H is compensated by the client, under written engagement terms, for advisory, diligence, compliance-support, and readiness work. All engagements are subject to applicable laws, eligibility requirements, conflicts review, and written agreement.
